1. Call to Order (Fred Beck):
- Fred called the meeting to order and handed out a copy of the agenda.
2. Representing the Chapter (Fred Beck):
- Joe Marko stated that National is very concerned with board members conveying personal
opinions as a representation of the National office. No one should make personal
statements and reflect their statements as coming from the board.
- All board members need to communicate with the board for any issues they have.
- We as the representatives of the board need to "guard ourselves" against any
conflict of interest. This needs to be disseminated to our spouse's and family
members to ensure there are no conflicts of interest - Be overly sensitive to
this.
- It needs to be made clear at staff meetings that - Nothing stated in these meetings
should leave this room. Specific requirements will be defined pertaining to
sensitive issues. For example who has, or has not paid their advertising bill.
- The board should not discuss sensitive issues in the open board meetings.
- We can not act on behalf of National - specific issue regarding an individual
signing on the dotted line for rooms in a Hotel where they did not have the authority to
do so.
3. Bylaw Revisions (Fred Beck):
- Review of the Bylaws. Comments and revisions, notes, corrections, amendments were made
to the Bylaws. Fred Beck to capture all comments to the Bylaws.
- Fred Beck will make changes to the Bylaws and have legal representative review them.
- This is our Annual Meeting.
- Joe Marko made a motion to further append Article 1, Section 6 to add two new positions
to further enhance the overall function and fluidity of the chapter. These newly created
positions would be titled Director of Driving Events, and a Communications Director.
- Bruce Augenstein stated before the vote, he would like to append Joe Marko's motion
to see these positions become an elected position (at some point in time) and that for the
moment, the elected voting board would appoint the individuals to serve in these
positions.
- Motion was voted on, vote was taken, and the motion was passed.
4. Bimmer Transition (Fred Beck):
- Issues with our former Editor. If Greg Scott doesn't want the Web Site on his
server, we need to move this to another one. Joe Marko and Bruce Augenstein will set up a
dinner with Greg to discuss what he would prefer to do with this and what he would like to
continue to do for the club.
- Letters to the Editor will be published in the Bimmer completely at the discretion of
the Editor - what to allow and not to allow.
- Bimmer to be put in all capital letters (BIMMER) will be at the discretion of the
Editor.
- Justin Hughes is the Editor and just the Editor, not the Senior Editor, since we have
only one editor now.
5. MA Insurance Issues (Fred Beck):
- National office wants 5,000 Square feet for office space, they currently have 1,200.
- It was discussed whether the Boston Chapter wants to take a position on the move that
the National office wants to make. If Michele wants to draft a letter regarding this and
run it by the board, we will review it.
6. Driving Events (Fred Beck):
- Swiss Watch Federation, we will provide a link to their Web Site on our Web Site -
they never got any promotion when they sponsored an event for us last year.
- The Boston Chapter will spend $500 and state that the Swiss Watch Federation sponsors
the event and put the link on our Web Site to theirs. The $500 would come out of the
Drivers Event Committee or Chapter funds.
- It was decided to let Tim O'Neil purchase advertising space just like any other
business.
- Driving Events Committee needs to submit accounting annually to the board.
7. Tremblant (Joe Marko):
- Joe Marko is willing to coordinate a social event/fun rally/or something during the
course of this weekend. Joe Marko will put together a budget for this.
Motion to end meeting - Motion was voted on, vote was taken, motion was
passed.
